Hire an AI SAFE ownership and funding checker

Check SAFE ownership, the share reserve change and rights to join a funding round, using the actual signed terms.

What you give

  • The cash you funded and the date (from your bank record or the SAFE)
  • The share count before the round, and the option pool already reserved (from the cap table)
  • The option pool size the new investors want before their cash goes in (from the term sheet)

What you get

  • Whether the cap applies, and the stake the SAFE gives before the priced round
  • The option pool top-up shown as its own line, not mixed into the round dilution
  • The pro rata cash you can invest, outside the round and as part of it
  • A tie between your pro rata cash and the full round

An example

A priced round is coming and you hold a post-money SAFE.

You ask: “Check SAFE ownership, the share reserve change and rights to join a funding round, using the actual signed terms. Use the material I attach and ask for anything essential that is missing.”

You get back:

  • outputs/step-1-post-money-safe-ownership-checker.md. Whether the cap applies and the stake the SAFE holds before the priced round.
  • outputs/step-2-option-pool-top-up-checker.md. The extra option pool reserve, shown separately from the round dilution.
  • outputs/step-3-pro-rata-allocation-checker.md. Your eligible pro rata cash outside the round, tied to the full round.

An example, not your task.

Details

Everything it can hand back

Your task sets the actual outputs. The specialist picks the methods that cover them.

  • Whether the cap applies, and the stake the SAFE gives before the priced round
  • The option pool top-up shown as its own line, not mixed into the round dilution
  • The pro rata cash you can invest, outside the round and as part of it
  • A tie between your pro rata cash and the full round
  • A list of missing facts and checks that could not run

How it does the job well

  • Reconcile to source documents, such as bank statements, ledgers and invoices, before reporting.
  • Show the calculation, inputs and period for every figure.
  • Label actuals, estimates and forecasts clearly.
  • Send tax, legal and regulatory questions to a qualified professional.

Mistakes it avoids

  • Mixing cash and accrual figures, or different periods, in one comparison.
  • Rounding or formula errors that do not tie back to totals.
  • Giving personal investment advice.

What a good result looks like

An example, not your task: A priced round is coming and you hold a post-money SAFE.

  • outputs/step-1-post-money-safe-ownership-checker.md. Whether the cap applies and the stake the SAFE holds before the priced round.
  • outputs/step-2-option-pool-top-up-checker.md. The extra option pool reserve, shown separately from the round dilution.
  • outputs/step-3-pro-rata-allocation-checker.md. Your eligible pro rata cash outside the round, tied to the full round.
  • HAND-BACK SUMMARY. Files saved, sources used, assumptions, MISSING lines, checks missed and one suggested next step.

How the work is checked

  • Recompute the stake from the funded cash and the post-money cap, and tie the funded date to the SAFE.
  • The option pool is counted once: either in the approved financing dilution or as the extra reserve, not both.
  • The pro rata stake is below 100 percent, uses the side letter's share count, and your cash divided by the round total equals that stake.
  • Each input traces to its source, date, currency and scale. A real zero, missing evidence and a ratio that does not apply are three different things. Say which one it is.
  • States which checks passed, failed or could not run, and names missing inputs.

These checks have not been run against a model yet. Your AI uses them to check its own work.

Capabilities

  • Post-money SAFE ownership checker. Confirms the cap is the price that applies. Works out the stake from the funded cash and the cap. Keeps the round dilution as a separate, dated assumption. Hands step 2 the share count before the top-up.
  • Option pool top-up checker. Uses the share count before the top-up and the pool target. Shows the extra reserve on its own. If the approved round dilution already includes it, the pool is not applied again. Hands step 3 the reserve treatment.
  • Pro rata allocation checker. Uses the stake your side letter makes eligible, after the pool treatment, and cash allocated outside the round. Ties it to the full round. Stops if the side letter's share count cannot be shown from a document.

  3. Carries out supported tasks, with each method's limits and review gates.
  4. Checks the real deliverables and corrects supported faults.
  5. Hands back files, evidence and unresolved gaps.

Inputs and helpful context

The specialist starts from the task brief. Only active methods require their inputs.

For the primary method, when used

  • The signed post-money SAFE, with its cap and its definition of company capitalization
  • The cash you funded and the date (from your bank record or the SAFE)
  • The share count before the round, and the option pool already reserved (from the cap table)
  • The option pool size the new investors want before their cash goes in (from the term sheet)
  • The new round's terms: size, price or valuation, and who invests what
  • Your pro rata side letter

Helpful context (optional)

  • The lawyer's draft cap table for the round.
  • The term sheet, so the pool target and round size are not guessed.

Tools and access

  • A spreadsheet tool and an AI that reads files: Share counts and percentages must be recalculated, not estimated. The AI should reopen the saved workbook.
  • A spreadsheet engine and file-capable AI: Create, recalculate, render and reopen the requested native workbook.
  • Node.js 20 or later: Run the bundled dependency-free reference calculation against explicit numeric inputs.
  • Claude, ChatGPT or Gemini: It does the arithmetic and shows each line, so you can check it against your cap table.
  • A spreadsheet app and an AI that can make files: Builds, recalculates and reopens the workbook version of the calculation.
  • Node.js 20 or later (optional): Runs the small calculator in the pack on your own share counts.
  • Claude, ChatGPT or Gemini: Any of them can do these sums in a chat.
  • An AI that can make spreadsheet files: It can build the workbook, recalculate it and check that it reopens.
  • Node.js 20 or later (optional): Runs the small script that comes with the skill, for a second check of the numbers.

    • One me.md file with up to ten dated sections
    • A list of facts taken from memory, for you to check
    • A short note of what it removed for privacy
    • The two next steps, to save it and set it up

Tasks you can use it for

  • A priced round is coming and you hold a post-money SAFE.
  • A founder wants to see what SAFE holders will own before the round closes.
  • Your lawyer's cap table and your own do not match.
  • You hold a side letter with pro rata rights and need to know how much cash to bring.

Limits to check before starting

  • Your instrument is a convertible note with interest, or has a discount: use the Convertible note conversion checker workflow.
  • Your SAFE is pre-money, or has no cap: this workflow covers cap-only post-money SAFEs. Ask your lawyer.
  • You hold pro rata rights in several companies: use the Staged follow-on investment checker workflow.

Best way to use this role

Give it one clear outcome, the actual files and a definition of done. Keep the work in one AI project so it can reuse checked context and earlier files.

  • Download the workflow pack and add it to Claude, ChatGPT or Gemini, in a chat that accepts files.
  • Attach the SAFE, side letter, cap table and term sheet. Say the date of the round, the currency and whether figures are in thousands.
  • Ask your AI to follow the pack and save each step's file.
  • After step 1, check the cap, the cash funded and the share count against the SAFE.
  • After step 2, check the option pool is counted once. After step 3, check your pro rata cash against the side letter before you send a commitment.
