Hire an AI SAFE ownership and share-pool reviewer

Review a funded SAFE and later round changes. Check contract share counts, option pool effects and supported ownership figures.

What you give

  • The funded amounts and dates (from bank records or the cap table)
  • The pool target as a share of the company right after the top-up and before new cash (from the term sheet)
  • The later round's dilution, as a share of the company, and its price per share (from the term sheet)

What you get

  • The SAFE's stake before the priced round, with the cap shown as the binding price
  • A price protection check, only when a down round triggers it
  • What changed since the last review, a record for the next one, MISSING lines and any checks that could not run

An example

A new SAFE is funded before the priced round closes.

You ask: “Review a funded SAFE and later round changes. Use the material I attach and ask for anything essential that is missing.”

You get back:

  • Changed since last review. Each term, count or document that moved, with old and new value and source date.
  • outputs/step-1-post-money-safe-ownership-checker.md. The SAFE's stake before the round from amount over cap, the round dilution kept as a separate dated assumption, and any open conversion conditions.
  • outputs/step-2-option-pool-top-up-checker.md. The added option reserve and total shares after the top-up, shown apart from the financing dilution so it is not applied twice.

An example, not your task.

Details

Everything it can hand back

Your task sets the actual outputs. The specialist picks the methods that cover them.

  • The SAFE's stake before the priced round, with the cap shown as the binding price
  • The option shares to add and the total shares after the top-up, with the dilution of existing holders
  • The cash a side-letter investor needs to keep its share, and the whole round including that cash
  • A price protection check, only when a down round triggers it
  • What changed since the last review, a record for the next one, MISSING lines and any checks that could not run

How it does the job well

  • Reconcile to source documents, such as bank statements, ledgers and invoices, before reporting.
  • Show the calculation, inputs and period for every figure.
  • Label actuals, estimates and forecasts clearly.
  • Send tax, legal and regulatory questions to a qualified professional.

Mistakes it avoids

  • Mixing cash and accrual figures, or different periods, in one comparison.
  • Rounding or formula errors that do not tie back to totals.
  • Giving personal investment advice.

What a good result looks like

An example, not your task: A new SAFE is funded before the priced round closes.

  • outputs/step-3-pro-rata-allocation-checker.md. The cash an eligible investor needs to keep its share, set against outside-only cash and tied to the whole round.
  • Price protection check. The charter formula's revised price and the protected conversion ratio. Only when a down round triggers it.
  • Record and MISSING lines. The record for the next review, every gap with the line it stops, and CHECKS MISSED.

How the work is checked

  • Every share count and percentage comes from the signed SAFE, the cap table or the term sheet. No example default is used as a deal fact.
  • The stake equals amount funded divided by the post-money cap. The check that the cap binds is stated.
  • Pool expansion and round dilution are separate lines. The pool factor is not applied twice.
  • The pro rata line says whether the quoted cash included the investor, and the investor's cash divided by the inclusive round equals its eligible stake.
  • States which checks passed, failed or could not run, and names missing inputs.

These checks have not been run against a model yet. Your AI uses them to check its own work.

Capabilities

  • Compares with the last approved review. Reads the saved record if it belongs to this SAFE and round, or sets a first baseline. It compares instrument IDs, funding dates, the cap version, the approved share count, the pool target date, the side letter and open conversion conditions. If nothing changed and no review is due, it says so and stops.
  • Checks the SAFE stake. Runs the Post-money SAFE ownership checker step. It confirms the cap binds and the form is post-money, then divides the amount funded by the cap to get the stake. It applies the dated round dilution separately and stops if a lower round price changes how the SAFE converts.
  • Sizes the pool top-up. Runs the Option pool top-up checker step. It uses the real share count before the top-up and the target, and solves the added reserve as the larger of zero and (target x shares less existing reserve) divided by (1 less target). It shows the added reserve on its own line.
  • Works out pro rata cash. Runs the Pro rata allocation checker step. When the quoted cash is from outside investors only, investor cash is its share divided by (1 less its share), times that outside cash. It adds this to the round and checks the share it gives. It stops if the rights base cannot be shown.
  • Checks price protection only if needed. If a qualifying down round changes protected conversion ratios, it runs the Weighted-average antidilution checker on the charter's formula, then asks for an approved new share count before it reruns the affected SAFE, pool or allocation work. Otherwise it skips this step.
  • Checks and saves. Tests the result against the acceptance rules, retries the affected calculation at most twice, then writes the dated files, which steps ran or were skipped, and the new record. It never replaces an approved baseline with an unapproved scenario.

Inputs and helpful context

The specialist starts from the task brief. Only active methods require their inputs.

For the primary method, when used

  • The executed SAFE, with the amount, the post-money cap and the definition of capitalization (from the signed SAFE)
  • The funded amounts and dates (from bank records or the cap table)
  • The share count before the option pool top-up, and the reserve already set aside (from the cap table)
  • The pool target as a share of the company right after the top-up and before new cash (from the term sheet)
  • The later round's dilution, as a share of the company, and its price per share (from the term sheet)
  • The side letter that gives participation rights, and the cash outside investors will put in (optional, only if pro rata is in question)
  • The charter and the records of the shares issued, if a down round may trigger price protection (optional)
  • The last approved review's record and the changed source files with dates (optional, needed to show what changed)

Helpful context (optional)

  • The full cap table before the round, with the option reserve shown separately.
  • The term sheet for the priced round.
  • A named person who approves the share counts and will check the clauses against the result.

Tools and access

  • A spreadsheet engine and file-capable AI: Builds linked schedules for stake, pool and pro rata, and saves the record file for next time. In plain chat it returns the same tables as text.
  • Your signed SAFE and side letter: The cap, the definition of capitalization and the participation right are contract terms. Quote them, never guess them.
  • A spreadsheet tool and an AI that reads files: Share counts and percentages must be recalculated, not estimated. The AI should reopen the saved workbook.
  • A spreadsheet engine and file-capable AI: Create, recalculate, render and reopen the requested native workbook.
  • Node.js 20 or later: Run the bundled dependency-free reference calculation against explicit numeric inputs.

Functions and deliverables

  • SAFE ownership and share-pool reviewer: Review a funded SAFE and later round changes. Check contract share counts, option pool effects and supported ownership figures.
  • SAFE ownership and funding checker: Check SAFE ownership, the share reserve change and rights to join a funding round, using the actual signed terms.
    • Whether the cap applies, and the stake the SAFE gives before the priced round
    • The option pool top-up shown as its own line, not mixed into the round dilution
    • The pro rata cash you can invest, outside the round and as part of it
    • A tie between your pro rata cash and the full round
    • A list of missing facts and checks that could not run
  • Down-round conversion price checker: Share charter terms and a qualifying share issue. Check the weighted-average reset price and revised conversion ratio.
    • The revised conversion price and ratio for the protected series, or the old price if no reset applies.
    • An editable workbook of the antidilution reset, with its inputs, formulas and test cases to rerun.
    • A tie-out of the old and revised conversion price, the inputs still missing and the checks that ran.
  • Post-money SAFE ownership calculator: Share a signed cap-only SAFE and later dilution. Check ownership before and after a priced funding round.
    • The ownership the SAFE gives at the cap, and what is left after the later round.
    • A list of conversion terms that are still open and need your check.
    • An editable workbook with inputs, formulas and checks.
    • A comparison against your instrument ledger, with any gaps marked MISSING.
    • A list of checks that ran and checks that did not.
  • me.md builder: Answer a few questions, or let your AI use what it remembers. Get one private file that tells any AI who you are.
    • One me.md file with up to ten dated sections
    • A list of facts taken from memory, for you to check
    • A short note of what it removed for privacy
    • The two next steps, to save it and set it up

Tasks you can use it for

  • A new SAFE is funded before the priced round closes.
  • The term sheet for the round is signed, and you need to see what each holder owns after it.
  • The investors and the company agree to a new option pool target before new cash arrives.
  • An investor with a side letter wants to know how much cash it needs to keep its share of the round.

Limits to check before starting

  • You hold a convertible note with interest. Use the Convertible note conversion reviewer.
  • Your SAFE converts at a discount, or the round price is below the cap price. The method covers cap-only post-money SAFEs and stops when the round price changes how the SAFE converts.
  • You want to plan how much to hold back for later funding rounds. Use the Follow-on investment cash planner.
  • You need legal sign-off on a live round. It reads the terms you supply and lists what it cannot confirm. Ask your lawyer.

Best way to use this role

Give it one clear outcome, the actual files and a definition of done. Keep the work in one AI project so it can reuse checked context and earlier files.

  • Add this agent to Claude, ChatGPT or Gemini, with the two pieces it uses. They are the Check a SAFE into priced financing workflow and the Weighted-average antidilution checker skill. An AI that reads files works best. In plain chat it still works, but it cannot save files.
  • Say if this is the first run. If not, paste last time's record. Then attach the signed SAFE, the cap table, the term sheet and any side letter.
  • Tell it whether the cash figure from outside investors includes the existing investor. Check that the result says which one it used.
  • Check that the pool top-up appears once and that round dilution is a separate line. Check that the share counts come from your cap table, not from an example.
  • If a down round triggers price protection, get the new share count approved first and give it to the AI. Then run it again.
  • Fix every MISSING line and run it again when a term changes. Adding it sets up no schedule.
