Hire an AI no-catch-up fund distribution reviewer

Check a fund distribution under simple no-catch-up terms. Show who is paid, what remains unpaid and any unsupported terms.

What you give

  • The signed fund agreement with its no-catch-up terms (from the fund administrator or data room)
  • The record from your last review (optional on a first run)

What you get

  • A terms check that says whether the fund fits, or names the blocker
  • The amounts still unpaid, and the proposed cash kept apart from the cash actually paid

An example

The fund proposes a distribution, and you need to know who is paid and in what order.

You ask: “Check a fund distribution under simple no-catch-up terms. Use the material I attach and ask for anything essential that is missing.”

You get back:

  • Terms check. Whether the fund fits the simple, no-catch-up structure, or which term is a blocker.
  • Changed since last review. Each proposal, record or notice that moved, with its old value, new value and source.
  • Preference due. Capital times rate times year fraction, plus unpaid opening preference, with no interest on that unpaid amount.

An example, not your task.

Details

Everything it can hand back

Your task sets the actual outputs. The specialist picks the methods that cover them.

  • A terms check that says whether the fund fits, or names the blocker
  • A preference due figure that adds the unpaid opening amount without interest on it
  • A payout table that pays capital, then preference, then the manager and investor split
  • The amounts still unpaid, and the proposed cash kept apart from the cash actually paid
  • A clawback check when a verified final entitlement is supplied, plus MISSING lines and a record for next time

How it does the job well

  • Reconcile to source documents, such as bank statements, ledgers and invoices, before reporting.
  • Show the calculation, inputs and period for every figure.
  • Label actuals, estimates and forecasts clearly.
  • Send tax, legal and regulatory questions to a qualified professional.

Mistakes it avoids

  • Mixing cash and accrual figures, or different periods, in one comparison.
  • Rounding or formula errors that do not tie back to totals.
  • Giving personal investment advice.

What a good result looks like

An example, not your task: The fund proposes a distribution, and you need to know who is paid and in what order.

  • Payout order. Cash paid to capital, then preference, then the rest split between manager and investors, with unpaid amounts.
  • Proposed against paid. Proposed cash and cash actually paid, kept apart so a plan is never read as a payment.
  • Clawback check. Only if a verified final entitlement is supplied. Carry paid less entitlement, allowed tax and recoveries, against escrow.

How the work is checked

  • The structure is simple return, no catch-up, no manager capital. Anything else is a blocker and its lines stop.
  • Capital is paid first. Preference is paid only from cash left after capital. Carry is zero until both are paid in full. Unpaid capital and preference stay on the page.
  • Opening unpaid preference is added without interest on it. The preference ties to capital, rate and year fraction.
  • The clawback check floors exposure at zero, and uses the same whole-fund basis and cutoff for entitlement and recoveries. Not every tax payment is an allowed deduction.
  • States which checks passed, failed or could not run, and names missing inputs.

These checks have not been run against a model yet. Your AI uses them to check its own work.

A second opinion

Before it hands back, your AI reviews the draft the way Warren Buffett would. This is a way of reviewing the work. It does not mean they wrote or endorse it.

Capabilities

  • Compares with the last review. Reads the saved record if it belongs to this fund, or sets a first baseline. Compares the agreement version, capital periods, unpaid preference, currency and dates. If nothing changed and no review is due, it says so and stops.
  • Checks the terms. Confirms the fund uses a simple return with no catch-up and no manager capital. Compounding, manager capital or a catch-up is recorded as a blocker. A change in capital during the period is split into separate intervals first.
  • Works out the preference. Multiplies the eligible capital by the annual rate and the year fraction. Adds the unpaid opening preference without interest on it. Hands the next step the capital owed and the preference due as two separate figures.
  • Pays the cash in order. Pays the smaller of the cash and the unreturned capital, then pays preference from what is left. Only cash left after both is split by the manager's share. Unpaid capital and preference stay on the page.
  • Checks clawback only with a verified entitlement. If someone has verified the final whole-fund entitlement, it takes paid carry less that entitlement, allowed tax and prior recoveries, and floors the result at zero. It then compares the result with escrow. Without one, it skips this step.
  • Saves the record. Writes the small record for next time and lists what is still MISSING. It never replaces an accepted baseline with an unapproved scenario, and keeps the old record. It corrects a failed check at most twice, then reports the blocker.

Inputs and helpful context

The specialist starts from the task brief. Only active methods require their inputs.

For the primary method, when used

  • The signed fund agreement with its no-catch-up terms (from the fund administrator or data room)
  • Capital paid in and returned, with dates, to show the eligible unreturned capital (from the administrator's records)
  • Unpaid preference from the last period, the simple annual rate and the year fraction (from the agreement and the records)
  • The cash to distribute, and the manager's share of the cash left after capital and preference (from the distribution notice)
  • For a clawback check, the verified final entitlement, carry paid so far, allowed tax, recoveries and escrow (optional)
  • The record from your last review (optional on a first run)

Helpful context (optional)

  • The return and carry clauses of the signed fund agreement, with clause numbers.
  • A dated capital record for each investor class, or for the whole fund as the agreement says.
  • A named reviewer, such as fund counsel or the administrator, who will check the clauses and the payout order.

Tools and access

  • A spreadsheet engine and file-capable AI: Builds a workbook with inputs and formulas you can click into, and can save the record file. In plain chat it returns the same tables as text.
  • Your fund administrator's capital account records: Give dated contributions and returns of capital, so the preference rests on facts and not on a rebuild.
  • A spreadsheet tool and an AI that reads files: The preferred return and the split are small calculations. The AI should recalculate them and reopen the saved file.
  • Claude, ChatGPT or Gemini: It does the arithmetic and shows each line, so you can check it against your records.
  • A spreadsheet app and an AI that can make files: Builds, recalculates and reopens the workbook version of the calculation.
  • Node.js 20 or later (optional): Runs the small calculator in the pack on your own figures.

    • One me.md file with up to ten dated sections
    • A list of facts taken from memory, for you to check
    • A short note of what it removed for privacy
    • The two next steps, to save it and set it up
  • Warren Buffett: Review a business using Warren Buffett’s recorded principles. Check how it earns, what protects it, how managers use cash and which facts remain uncertain.
    • Your problem worked on the way Warren Buffett would: their questions, their method, their push-back
    • The answer or the work, in Warren Buffett's voice, using their ideas by name
    • Anything that goes beyond their public record, marked
    • One suggested next step

Tasks you can use it for

  • The fund proposes a distribution, and you need to know who is paid and in what order.
  • A new preference record shows a different unpaid amount from your model.
  • A final entitlement notice arrives, and you want to know whether the carry already paid is too high.
  • The fund agreement says no catch-up, and you want to confirm the payout table follows it.

Limits to check before starting

  • Your fund compounds its return, has a catch-up or manager capital, or pays carry deal by deal. It marks each of these a blocker and stops. Ask your fund counsel or administrator.
  • Your question is about management fees, a stepdown or fee credits. Use the Fund fee and credit reviewer.
  • You want one check with no earlier review to compare with. Use the No-catchup fund payout checker.
  • You want to check an investor's capital account or fund value. Use the Investor statement NAV checker.
  • You want it to pay anyone or send a notice. It never does.

Best way to use this role

Give it one clear outcome, the actual files and a definition of done. Keep the work in one AI project so it can reuse checked context and earlier files.

  • Download the pack and give it to an AI that can read files, such as Claude, ChatGPT or Gemini. The pack holds the No-catchup fund payout checker workflow and the Fund manager clawback checker. In a chat-only tool it still works, but it cannot save files, so you keep the record it hands back.
  • Say whether this is the first run. If not, paste the record from last time. Then attach the fund agreement, the capital records and the distribution notice.
  • Read the terms check first. If it names a blocker, such as compounding or a catch-up, the payout lines stop there. Take that to your fund counsel.
  • Check the preference by hand. Capital times the rate times the year fraction, plus any unpaid opening amount, should match the figure shown.
  • Check the payout order. Manager carry should be zero until capital and preference are paid in full.
  • Fix every MISSING line. Run it again when a proposal, record or notice changes. Installing it sets up no schedule.
