What it does
A startup loan offer explained in plain words: what it costs, what you give up and where the lender can pull the plug. It checks the rate, usually the prime rate plus a margin, and whether you pay interest only first or repay from day one. It calculates warrant coverage, for example 10 percent of the loan, and how many shares that gives the lender at today's price. It tests whether the loan adds six to nine months of runway. It reads covenants such as minimum cash or revenue, and reviews the material adverse change clause that lets a lender freeze a credit line. Last, it flags refinance risk if your next round slips.
