What it does
When directors must approve something, a written consent lets them sign instead of meeting. This skill drafts that consent in your house style, starting from the closest past example in your own files. It first sorts the action into routine or needs-review. Major one-off actions trigger a warning to involve outside counsel before going on. It then finds a matching precedent, drafts the resolutions, flags director conflicts, and notes any state notice rules. You also get a signing checklist to track who has signed. It handles several resolutions in one consent. A lawyer should review the draft.
You give it

You get
